Rarecide Terms of Service Agreement
This Terms of Service Agreement ("Agreement") outlines the terms and conditions under which you ("Client") engage Rarecide to provide the specific services outlined herein. This is a legally binding agreement between you and Rarecide. By becoming a Rarecide Client, you agree to abide by the terms and conditions set forth in this Agreement. The "Effective Date" of this Agreement will be the date on which you submit your order for Services to Rarecide.
1. Services
Rarecide will provide services to the Client as detailed on the Rarecide website (www.rarecide.com). This Agreement overrides all previous agreements and is presented to you during sign-up for your approval. It is your responsibility to thoroughly review these terms to fully understand what you are agreeing to.
1.1 Working with Third-Party Platforms
Given the nature of Rarecide's services, Rarecide may involve working with/of third-party platforms like Facebook, Instagram, Twitter, Google My Business, Pinterest, TikTok, and LinkedIn. Occasionally, disconnections or password changes may arise over which we have no control. If you change your password, you are required to notify Rarecide promptly to prevent service interruption. We recommend regularly reviewing your accounts and our work, and providing guidance and feedback as necessary. In the event of a disconnect or an inability to access your account for posting, the client agrees not to hold Rarecide accountable, as long as we continue creating content for your business. We will work to ensure any missed posts are rescheduled once access is restored. However, missed posts due to account lockouts or connectivity issues that are not the fault of Rareside do not qualify for a refund. For details on our refund policy, see below.
2. Rareside Obligations
2.1 Service Provision
Rarecide will provide the agreed-upon services according to its standard policies and procedures. We retain the right to decline service to any client at our sole discretion. Rarecide will manage all aspects of service delivery.
2.2 Policy and Procedure Changes
Rarecide reserves the right to modify its rules, policies, and operating procedures, including pricing, package inclusions, and service details, at its sole discretion. You may be grandfathered into an older plan if still offered, but this decision is at Rarecide's discretion.
3. Fees and Payment
3.1 Payment Terms
All service fees must be paid in advance of the provision of services. A valid credit card for recurring monthly payments must be securely maintained on file.
3.2 Initial and Recurring Charges
Rarecide will charge the Client’s credit card on the monthly anniversary of the initial order. Non-payment may result in suspension of services until payment is received. Suspended services due to non-payment do not entitle the client to fee adjustments.
3.3 Refund Policy
Unless there is a material breach of this Agreement by Rarecide, refunds are not issued after the 14-day money-back guarantee, which applies only to your initial order. Refunds requested within this period will be processed only after all social media posts have been deleted. You also agree not to use any content created by Rarecide once the refund is processed. Additionally, Rarecide does not offer refunds for any reason related to connectivity issues or an inability to link social accounts. Fees are based on the time and work performed, not on the outcome of any marketing activities.
3.4 Cancellation Policy
You may cancel your subscription at any time through your client portal. Cancellations made early in a billing cycle will not be prorated, but we will complete the current month of service upon request. For multi-month plans, if you cancel early, any discounts received will be voided, and the difference must be paid.
3.5 Continued Work on Past-Due Accounts
If work continues on a client account that is past due but not canceled, the client will owe back-payments. We do not charge interest on late payments but maintain detailed records to justify the charges.
3.6 Service Start Date and Onboarding
Services officially begin on the day you sign up and start the onboarding process. We do not charge setup fees, as onboarding is included in the first month's payment. If delays on Rarecide's part extend beyond seven business days, billing will be adjusted to ensure you receive a full month of service.
4. Service-Specific Policies
4.1 Posting to Multiple Platforms and Missed Posts
If your social media accounts disconnect from our system, it is your responsibility to reconnect them. Rarecide is not liable for missed posts or partial refunds in such cases. However, missed posts will be rescheduled once profiles are reconnected.
4.2 Post Quality and Client Approval
Social media management is highly customized, and preferences vary widely. If you wish to review posts before they are published, you must select a plan that includes this feature. Errors like typographical mistakes or date mismatches may result in service credits but not refunds.
4.3 Content Review and Approval
If you do not provide feedback on content, Rarecide will continue to post according to the content schedule. If feedback is provided, we allow for one round of edits per week of content.
4.4 Client Reviews
Clients are encouraged to review their accounts every two weeks to ensure posts meet expectations and that there are no disconnects.
4.5 Blog Posts
Two revisions are allowed on blog drafts. If no feedback is received within four weeks, the content will be considered final.
4.6 Less Tech-Savvy Clients
Rarecide understands that not all clients may be familiar with technology, different software platforms, or how social media functions. For this reason, we dedicate significant time to the onboarding process to ensure that we provide the best service possible. This process includes explaining each step, engaging in email exchanges, and taking part in phone consultations. All of this is considered part of the service we provide to your account. Please be aware that if you decide to cancel after the 14-day money-back guarantee period, no refunds will be issued. However, you may continue to use our services until the end of the billing cycle for which you have already paid. If you choose to cancel out of frustration, it does not negate the time and effort we have already put into managing your account.
4.7 Business Structure and Client Phone Communication
As an online subscription-based social media service, rather than a traditional full-service marketing agency, Rarecide's customer service prioritizes inbound communication. This means it is your responsibility to routinely monitor your social media pages or Content Panel across all plans and provide feedback when needed. As a cost-effective social media management company, much of our resources are allocated to customer support. To maintain affordability, we operate through a call scheduling system. Prior to signing up, we offer a free 30-minute consultation call, allowing you to learn more about our services and get any questions answered. After becoming a client, you will also receive a complimentary 15-minute onboarding call. Beyond the onboarding process, all customer support is conducted online to keep our services budget-friendly. Our support team is available to assist you through live chat, email, or via support tickets through the client portal. Please refrain from booking additional customer support calls, as they will be canceled.
5. Warranties and Disclaimers
5.1 Refund Policy
As previously stated, Rarecide does not issue refunds after the 14-day guarantee period. Credit may be provided if we fail to meet posting commitments.
5.2 Warranty Disclaimer
Rarecide provides services as-is and disclaims all implied warranties, including but not limited to warranties of merchantability, performance, or fitness for a particular purpose.
6. Indemnity
The Client agrees to indemnify and hold Rarecide and its affiliates harmless from any claims or disputes arising from the services provided. This includes but is not limited to losses or damages related to third-party platform issues, copyright disputes, and account suspensions.
7. Limitation of Liability
Rarecide's liability is limited to the fees paid for the last month of service. We are not responsible for any indirect, incidental, or consequential damages related to the performance of this Agreement. Rarecide will not be held liable to the Client or any third party acting on behalf of the Client for any loss of profit, revenue, or any other indirect, consequential, incidental, or special damages, whether such claims are made in relation to contract or tort law, and regardless of whether Rarecide has been informed about the possibility of such damages. Under no circumstances will Rarecide's liability to the Client exceed the total amount paid by the Client to Rarecide for services rendered in the preceding one (1) month period. This limit on liability is cumulative, and multiple claims will not increase the total amount of damages owed. The Client understands and agrees that these limitations of liability are fundamental to the agreement between the parties, and without them, the terms and conditions of this Agreement would be significantly altered.
8. Miscellaneous
This Agreement represents the full understanding and agreement between the parties regarding its subject matter. Rarecide may modify this Agreement at its sole discretion, with the latest version always available for review. Notice of such changes will be considered delivered when sent to the Client's last known email address. This Agreement is binding upon and benefits the successors and permitted assigns of the parties. However, the Client may not transfer or assign this Agreement, in whole or in part, without prior written approval from Rarecide, and any assignment made without such consent will be void. The Agreement shall be governed by and interpreted under the laws of the Province of Ontario, Canada, without consideration of any conflicting legal principles. Any legal proceedings or dispute resolutions arising from this Agreement will take place within the jurisdiction of Toronto, Ontario, and both parties consent to the authority of the courts located in Toronto. Except where explicitly stated otherwise, any notice required or permitted under this Agreement must be in writing, in English, and sent through a reliable postal method, similar to Canada Post with return receipt requested. If any part of this Agreement is deemed unenforceable by a court of competent jurisdiction, only the necessary portion will be removed, while the remaining provisions of the Agreement will remain valid and enforceable. Any waiver of a breach or default of this Agreement does not constitute a waiver of any future breach or default, nor does it modify the rights of the waiving party.
9. Disputes and Credit Card Disputes
In the event of a credit card dispute, services and credits will be paused until the dispute is resolved. Negotiation is always encouraged to resolve any issues favourably for both parties.
